CBOS Terms and Conditions of Service
Between MTL Cebu Business Outsourcing Solution (CBOS) which includes all its agents, employees (including future employees) successors in interest and assigned, including associates present and future.
And COMPANY NAME (Client) which includes its successors in interest, subsidiary firms or company’s within and outside the Philippines.
Obligations of CBOS CBOS will aim to complete the client’s work within reasonable time frame subject to the work involved in each individual task and the availability of relevant documents sufficient to complete the work. CBOS will keep all records confidential and secure. CBOS will only be responsible as far as the scope of this engagement and shall not be responsible for any cases beyond it. CBOS is only limited to whatever information the client is giving us and shall not be liable to those information not forwarded to us.
Obligations of Client Client will provide all the documents and information needed before the start of the task. Client will ensure proper and clear communication for any queries by CBOS. Client will sign all reports to be submitted to any government agency, thereby taking full responsibility of the said report. Any errors discovered by the client should be communicated to CBOS accordingly. Client should maintain confidentiality on all aspect of engagement between the Client and CBOS.
Payment Schedule Monthly payment as indicated above
Invoicing and payment CBOS will issue invoice monthly every 10th of the month. Any external cost incurred on behalf of a client will be billed accordingly. CBOS allows direct deposit to any of our accounts as may provide. Fees are subject to an annual review if to increase by 5% to cover inflation and increases to costs. If CBOS finds it necessary to increase the monthly fees then a written communication will be provided to the client. The increase will not effect without the approval of the client and signing of another contract.
Legal Cost Should CBOS be required to use a professional debt collection agency to recover our fees from Client, we will charge the legal fees involve.
Termination Both parties may mutual agree to terminate the engagement with 30 days written notice. Client will pay all outstanding invoices in full without exception. CBOS have the right to hold documents, files and other information belonging to the client until all fees are paid in full. Upon full payment, CBOS will return all documents within 15 days. All private information of officers, employees, bank statement, and financial data will be destroyed within 3 days except on documents restricted by the government.
